I have built and sold companies myself. I founded and led Bumps and Bruises Pediatric Urgent Care and sold it to a private equity-backed buyer, later acquired a commercial landscaping company, rebuilt its systems and sold that as well, and took a third company through a venture-backed incubator. So when we talk about what you have built, it is not an abstraction to me.

What most estate plans get wrong about business owners

Most estate plans treat a business interest as a line on a balance sheet, or ignore it entirely. Both cause problems.

Your operating agreement almost certainly contains transfer restrictions. Those restrictions generally control what happens to your membership interest regardless of what your will says. If nobody checks, your plan and your company documents quietly contradict each other, and the conflict surfaces at the worst possible moment.

A standard financial power of attorney often does not authorise anyone to run a company, sign at a closing, or deal with your bank on a commercial loan. If you were incapacitated tomorrow, that gap would matter within a week.

What we do

We build your estate plan with the business properly accounted for.

That means reading your entity documents before we title anything, so the plan does not collide with restrictions you already agreed to. It means powers of attorney written to reach business decisions, not just personal ones. It means titling interests correctly where a trust makes sense and saying so when it does not. And it means coordinating with your CPA and your business attorney rather than working around them.

What we do not do

We are not your corporate counsel. We do not draft buy-sell agreements, restructure entities or handle transactional work, and we will not pretend otherwise to keep a matter in-house.

What we will do is tell you plainly when your business needs work we are not the right firm for, and work alongside whoever does it. Most owners find that more useful than being sold something.

Why owners work with us

Having sat on the seller’s side of a transaction changes the questions you ask. I know what a buyer’s diligence list looks like, which is usually the moment an owner discovers their records are not in the shape they thought. I know how much of an owner’s identity is bound up in the thing they built, which is the part that makes these conversations difficult and the part most plans ignore entirely.

You are not going to have to explain to me why the business matters.

Price is what you pay. Value is what you get.

We do not get paid for handing you pieces of paper. We get paid for giving you peace of mind that you have a plan built to address your concerns, meet your goals, and hold up for your family when it matters most.

That is why we do not quote a number before we understand your situation. Once we do, you will know exactly what you are paying for: the documents, the judgment about which ones you need, and the work of making sure the titling and beneficiary designations actually match the plan.

Frequently Asked Questions

Does my LLC operating agreement override my will?

Frequently, yes. Transfer restrictions in an operating agreement generally control what happens to a membership interest regardless of what your will says. This is one of the most common conflicts we find, and it is usually invisible until someone dies. We read those documents before we title anything.

Can my business interest go into a living trust?

Often, and it is usually the cleanest way to keep the interest out of probate. It has to be done carefully, because operating agreements and loan covenants can restrict transfers and doing it wrong can trigger a default or a right of first refusal.

Do you draft buy-sell agreements or handle corporate work?

No. We are an estate planning firm, not corporate counsel. If your business needs its own agreements drafted or its entities restructured, we will tell you and work alongside your business attorney rather than take it on ourselves.
